Terms of Use for the bonuz
Lifestyle / Wallet app and website

1. Who we are, and what these Terms cover

These Terms of Use (“Terms”) are an agreement between you and BONUZ TECHNOLOGY DMCC, a company registered in the Dubai Multi Commodities Centre, Jumeirah Lakes Towers, Dubai, United Arab Emirates (licence DMCC-826733) (“bonuz”, “we”, “us”). References to “you” also include any legal entity on whose behalf you act.

They govern your use of the bonuz Lifestyle / Wallet mobile application (the “app”), the bonuz.xyz website, and the features available through them (together, the “Services”). The app is a lifestyle app built on self-custodial wallet technology. By downloading, accessing, or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms. We will post the updated version here with a new “last update” date and may also let you know in the app about material changes. Continued use after the effective date is acceptance. This version 3.0 supersedes the version dated 22 February 2025.

2. The bonuz group and third-party providers

Bonuz Inc., a company incorporated in Saint Lucia, is our affiliate. Bonuz Inc. develops the underlying protocols and smart contracts on which parts of the Services are built, and is the issuer of the BONUZ token ($BONUZ).

For the avoidance of doubt: BONUZ TECHNOLOGY DMCC has nothing to do with the BONUZ token, and never will. We do not, and will not, issue, offer, sell, distribute, promote, market, intermediate, broker, custody, or otherwise deal in the BONUZ token in any way. The company and the token share the “bonuz” name only because they belong to the same wider group; the token is exclusively a product of Bonuz Inc., a separate legal entity. The BONUZ token cannot be bought, sold, or obtained through the Services, and nothing in the Services is an offer, solicitation, recommendation, or promotion of it. Any dealing in the BONUZ token takes place entirely outside the Services, under Bonuz Inc.’s own terms, documentation, and eligibility restrictions. We state this separation prominently because we want it to be impossible to misunderstand: if anything in the Services ever appears to suggest otherwise, it is an error. Please report it to hello@bonuz.tech.

The Services integrate services operated by independent third-party providers that are regulated in their own right and are the sole counterparty for the services they provide. These include Mercuryo (buying and selling crypto for fiat), execution venues reached through the LI.FI routing infrastructure (swaps), Web3Auth / Torus (key infrastructure for social-login wallets), WalletConnect (dApp connections), and Stripe (card payments for bonuz Names). Your use of a third-party service is governed by that provider’s own terms and privacy policy. We do not control third-party services and, to the maximum extent permitted by law, accept no responsibility for them.

3. Eligibility

You may use the Services only if you:

• are at least 18 years old and have full legal capacity to contract;
• are not located in, or a resident or national of, a jurisdiction where use of the Services is prohibited, and are not subject to sanctions administered by the UN, UAE, EU, UK, or US (OFAC), nor named on any restricted-parties list;
• will not use the Services on behalf of any person who could not themselves satisfy these conditions;
• comply with all laws that apply to you, including tax, foreign-exchange, and export-control laws.

We may suspend or terminate access where we reasonably believe these conditions are not met.

4. Your wallet: self-custody

bonuz is a software provider. We are not a bank, exchange, custodian, broker, dealer, or arranger, and we do not custody, control, or manage your funds or digital assets in any manner.

• Your keys, your responsibility. Private keys and recovery phrases are generated and stored on your device (or, for social-login wallets, derived through the Web3Auth distributed key infrastructure). We never receive, store, or have access to them. If you lose your recovery phrase, device access, or login factors, your assets may be permanently unrecoverable, by anyone, including us.
• Back up your recovery phrase offline and never share it. Anyone with your recovery phrase or private key can take your assets. bonuz staff will never ask for it.
• Wallet types. The app supports seed-phrase wallets (BIP-39), social-login wallets (keys derived via Web3Auth), smart accounts, and chain-specific wallets including a BTX wallet with its own master key. The security notices shown in the app for each wallet type form part of these Terms.
• Biometric unlock (Face ID / fingerprint) runs entirely on your device; we never receive biometric data.
• Transactions are irreversible. Once broadcast, blockchain transactions cannot be reversed, cancelled, or refunded by us. Verify addresses, networks, and amounts before confirming. Sending assets to a wrong or incompatible address will likely result in permanent loss.

5. Networks and assets

The Services support multiple networks: currently 39 EVM-compatible chains (including Ethereum, Base, BNB Chain, Polygon, and Arbitrum), Solana, Bitcoin, and the BTX post-quantum network. We may add, suspend, or remove network support at any time. Blockchain networks are operated by third parties or decentralised communities: we are not responsible for network congestion, forks, protocol changes, downtime, or failures, nor for the value, functionality, or legitimacy of any asset you hold or interact with. Network (“gas”) fees are set by the networks, not by us, and are payable by you.

The BTX recovery utility in the app moves funds you already control from an address format previously used by your own wallet to your current address. It is provided as-is and does not involve us taking custody.

6. Swaps

The swap feature displays quotes sourced through LI.FI routing infrastructure and, if you proceed, submits your transaction to third-party execution venues (decentralised exchanges and bridges). Quotes are estimates: final rates depend on market movement, slippage settings you control, and network conditions. We are not a counterparty, broker, dealer, or arranger of any swap, we do not guarantee execution or outcomes, and quoted values are not advice.

7. Buying and selling crypto (on-ramp and off-ramp)

Buying and selling crypto for fiat is provided by Mercuryo as the sole counterparty, under Mercuryo’s own terms, availability, fees, and identity-verification (KYC) requirements. We pass your wallet address to Mercuryo to pre-fill your order; the transaction itself occurs between you and Mercuryo.

8. WalletConnect and the in-app browser

You can connect your wallet to third-party decentralised applications (“dApps”) via WalletConnect or the in-app browser. dApps are third-party services: we do not review, endorse, or control them, and connecting to or transacting with a dApp is at your sole risk. Review every signature and transaction request carefully. Malicious dApps can drain wallets; a listing or reachability inside the Services is not an endorsement.

9. NFTs, drops, and the Life Key

The Services can display NFTs and similar tokens associated with your addresses. You grant us a non-exclusive, royalty-free licence to access, cache, reproduce, and display the related content solely to operate that functionality. You (or the respective rights-holders) retain all underlying rights. We do not verify the authenticity, provenance, or lawfulness of any NFT.

We do not sell NFTs. The Services contain no mechanism to buy or sell NFTs, and never will. Digital collectibles you can receive through the Services, including G-Drops and the bonuz Life Key, are free. They are utility and access credentials: they may grant access to features, venues, events, or experiences, and that is all they are. They carry no monetary value, no investment character, and no promise of future value; they may be non-transferable; and we may change what a given credential unlocks. Where such credentials are issued on-chain, they are issued by our affiliate Bonuz Inc.

10. bonuz Names and premium handles

A bonuz Name is a human-readable label (for example you.bonuz.id) that can point to your wallet and, only with your explicit per-field consent, publish selected profile details as public ENS text records. Publishing to a blockchain is public and effectively permanent; think before you publish.

• Premium handles may be purchased for a stated USD price, with card payments processed by Stripe. The purchase grants a personal, non-transferable entitlement to use the label within the Services while your account remains in good standing. It is not a transfer of intellectual property and not an investment.
• Refunds. If we cannot deliver a purchased handle, we will refund the payment. Mandatory consumer rights in your country of residence are not affected.
• Revocation. We may reclaim, suspend, or refuse any handle that infringes rights, impersonates a person or brand, is obtained for squatting or resale, is misleading (including lookalikes of official terms), or is used for phishing, fraud, or abuse. Where the handle was purchased and the holder acted in good faith, we will refund it.

11. Points, rewards, and engagement features

The Services include engagement features: Antimatter points, missions, referral bonuses, leaderboards, loyalty punch cards, vouchers, and location-based drops (“G-Drops”).

• Points are off-chain, fictional, and have no monetary value. They are not currency, not an asset, not redeemable for cash, and non-transferable. They can be redeemed only within the Services, only as described in-app.
• We may modify, pause, reset, or discontinue any engagement feature, points balance, mission, or reward program at any time, without compensation.
• Rewards are limited, discretionary, and not guaranteed. Voucher and punch-card rewards are honoured by the participating business named on them; that business, not bonuz, is responsible for delivering the underlying good or service.
• Where a promotion references digital assets provided by our affiliate Bonuz Inc., that distribution is made by Bonuz Inc. under its own terms and eligibility rules, outside these Services, and may not be available in all jurisdictions.
• Referral rewards may be withheld or reversed for self-referral, automation, or abuse.

12. LIFE mode: events, places, check-ins, and the lens

Discovery features show events, venues, and city content sourced from third parties; details can change or be wrong, so verify with the organiser before relying on them. Attending events and visiting venues is at your own risk; bonuz is not the organiser unless expressly stated.

Location-based features (nearby content, check-ins, G-Drops) use your device location with your permission; accuracy depends on your device. The augmented-reality lens uses your camera to render overlays in real time. Camera frames are processed on the device and are not recorded or uploaded by the lens. Stay aware of your surroundings while using camera features; do not use them while driving or in unsafe situations, and respect venue rules and the privacy of people around you.

The app shows you safety notices before you use these features: when you open the lens (do not use it while driving, cycling, or otherwise in motion; stop somewhere safe first) and before you place a drop (do not place it on a road, in traffic, or anywhere unsafe to stand). By activating LIFE mode or the lens you confirm that you have read these notices and will follow them. They form part of these Terms, and you use these features at your own risk.

13. Your content and conduct

You are responsible for content you submit (profile, chat messages, community posts) and for your conduct. You must not use the Services to: break the law; launder money, finance terrorism, or evade sanctions; infringe others’ rights; impersonate any person; harass or exploit anyone; distribute malware; scrape or reverse-engineer the Services; interfere with their operation; or attempt to access other users’ wallets or data.

You grant us the licence needed to host and display your content within the Services. We may remove content or restrict accounts that violate these Terms, and we maintain a contact point for illegal-content notices at hello@bonuz.tech. We are not obliged to monitor content but may do so.

14. Risk disclosure

CRYPTOASSETS ARE HIGHLY VOLATILE AND HIGH-RISK. YOU CAN LOSE EVERYTHING YOU PUT IN. BY USING THE SERVICES YOU ACKNOWLEDGE AND ACCEPT, WITHOUT LIMITATION: THE RISK OF TOTAL LOSS OF VALUE; IRREVERSIBLE TRANSACTIONS AND USER ERROR; LOSS OR COMPROMISE OF KEYS AND RECOVERY PHRASES; SMART-CONTRACT AND PROTOCOL VULNERABILITIES; BRIDGE AND CROSS-CHAIN FAILURES; THIRD-PARTY SERVICE FAILURES OR INSOLVENCY; PHISHING AND FRAUD BY THIRD PARTIES; NETWORK FORKS, CONGESTION, AND OUTAGES; REGULATORY AND TAX UNCERTAINTY IN YOUR JURISDICTION; AND TECHNOLOGICAL DEVELOPMENTS (INCLUDING ADVANCES IN QUANTUM COMPUTING) THAT MAY AFFECT CRYPTOGRAPHIC SECURITY. WE MAKE NO REPRESENTATION THAT ANY ASSET OR FEATURE IS SUITABLE, LAWFUL, OR AVAILABLE IN YOUR JURISDICTION.

15. No advice; taxes

Nothing in the Services, including prices, charts, quotes, rankings, points, and notifications, is investment, financial, legal, accounting, or tax advice, or a recommendation to buy, sell, or hold any asset. You are solely responsible for your decisions and for determining and paying any taxes that apply to your activity.

16. Fees

We currently do not charge fees for the core wallet functionality. Network fees, third-party provider fees (Mercuryo, execution venues, Stripe), and the price of premium handles are disclosed at the point of use. Any future bonuz fee will be shown in-product before you confirm the relevant action.

17. Intellectual property; licence

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the app for its intended purpose. The Services, including software, design, trademarks, and content (other than your content and third-party content), belong to bonuz or its licensors. Feedback you send us may be used without restriction or compensation.

18. Privacy

Our Privacy Policy explains what data we process and your rights. It forms part of these Terms.

19. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES, ANY NETWORK, OR ANY THIRD-PARTY SERVICE WILL BE AVAILABLE, SECURE, OR FREE OF DEFECTS.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF DIGITAL ASSETS ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES, ANY NETWORK, OR ANY THIRD-PARTY SERVICE; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO USD 1,000 OR THE AMOUNT OF FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER RIGHTS IN YOUR COUNTRY OF RESIDENCE.

21. Indemnification

You will indemnify and hold harmless bonuz, its affiliates, and their officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, your violation of law, or your use of third-party services through the Services.

22. Suspension and termination

You may stop using the Services at any time and may delete your account in-app; self-custodied assets remain yours and under your control via your keys, independent of your bonuz account. We may suspend or terminate access, or discontinue features, where required by law, for security, for breach of these Terms, or on reasonable notice for operational reasons. Sections that by their nature survive (including sections 14 to 24) survive termination.

23. Governing law and dispute resolution

These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any dispute that is not resolved within 60 days of written notice shall be finally settled by binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC), seated in Dubai, in English, before a single arbitrator. Claims may be brought only in an individual capacity; class, collective, and representative actions are waived. Any claim must be filed within one (1) year of the events giving rise to it. If you are a consumer in a jurisdiction whose law grants you mandatory rights or a right to sue in your local courts, nothing in this section deprives you of them.

24. General

We may assign these Terms as part of a merger, acquisition, or reorganisation; you may not assign them. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the rest remain in effect. These Terms (with the Privacy Policy and the in-product notices referenced in them) are the entire agreement about the Services. We are not liable for delay or failure caused by events beyond our reasonable control. The English version prevails over any translation.

Our support team is happy to assist you. Support hours are Monday to Friday, 10 AM to 6 PM GMT+4. We may not respond to offensive messages; please be polite in your communication with us.

OUR CUSTOMER SERVICE REPRESENTATIVES ARE NOT AUTHORIZED TO BIND US OR TO CONTRAVENE THESE TERMS. WE EXPRESSLY DISCLAIM ANY LIABILITY FOR INFORMATION PROVIDED BY OUR CUSTOMER SERVICE REPRESENTATIVES THAT GOES BEYOND OR CONTRADICTS THE INFORMATION PROVIDED HEREIN.
